We support national and international companies in connection with acquisitions in Germany (share and asset deals) – from due diligence to the drafting and execution of contracts. In international transactions we work in teams with our international partner law firms.

A long-term cooperation with our clients with regard to all corporate law issues, such as shareholder resolutions, changes to articles of association, equity measures or transformation, restructuring and management changes is based on trust in each other and cooperation as partners. We focus in particular on supporting companies in preparing and implementing shareholder meetings, annual general meetings and advising and representing them with regard to the review, assertion or defence against officers’ liability claims.

Banking and capital markets

We support German banks and branch offices of major EU banks in Frankfurt, Berlin and Munich with regard to relevant issues in their day-to-day business, in particular in connection with loan agreements and collateralisation e.g. by way of guarantees, letters of comfort, assignments of claim or collateral as well as banking regulation and compliance issues.

We advise listed companies with regard to all issues of capital markets law – going public and being public. Legal issues of ad-hoc publications, provisions on insider information and obligations to disclose company results under capital market provisions fall within our practice area just like advice on corporate governance and compliance. We support our clients in transactions such as initial public offerings (IPOs), takeover bids, squeeze-outs and de-listings.

We support funds that are open to the general public in the area of investments and alternative investment funds (AIFs) in connection with all capital market, liability and regulatory issues.
